UPTask Terms of Use

Effective date: September 8, 2025

These Terms of Use (the “Terms”) govern access to and use of the websites (including uptask.io), mobile applications (including UPTask for Clients and UPTask Pro for Technicians), and related services that connect Clients with independent technicians/handymen (collectively, the “Services”).

By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1) Who We Are — Marketplace & Lead‑Generation Only

UPTask is a technology platform and lead‑generation/marketing service that facilitates the discovery and communication between Clients and independent Technicians for services such as TV mounting, furniture assembly, and related tasks. UPTask does not provide handyman services and does not employ or supervise Technicians. Technicians are independent contractors, not employees, partners, agents, or joint venturers of UPTask. UPTask does not control how Technicians perform work and does not guarantee any outcome.

Client–Technician Relationship. Clients and Technicians contract directly with each other. UPTask is not a party to service agreements between users and is not responsible for the performance, quality, safety, pricing, timeliness, or legality of any services provided by Technicians or the actions/omissions of Clients.


2) Eligibility

You must be at least 18 years old and able to enter a binding contract. Technicians must hold any required licenses, permits, insurance, and business registrations for the services they offer.


3) Accounts & Security

You are responsible for the accuracy of registration information and for maintaining the confidentiality of your credentials. You are responsible for activity under your account. Notify us promptly of any suspected unauthorized use.


4) Client Terms

Requests & Bookings. Clients may submit service requests, including address, photos, and scheduling preferences. Submitting a request does not obligate UPTask or any Technician to accept it. A booking is confirmed only when a Technician accepts and you confirm the details.

Payments. Unless expressly stated otherwise in a particular product flow, payments are arranged directly between Client and Technician. Where UPTask offers an in‑app checkout, UPTask may act as a limited payment collection agent for the Technician solely to accept Client payments and remit them to the Technician, less any applicable fees. In such cases, a Client’s payment obligation to the Technician is satisfied upon UPTask’s receipt of payment. UPTask is not a bank and is not responsible for chargebacks beyond the processor’s rules.

Cancellations/Rescheduling. Any cancellation, rescheduling, or refund terms are set by the Technician or the specific product flow; additional fees may apply. UPTask is not liable for amounts agreed directly between Client and Technician.

Access & Safety. Clients must ensure safe access to the job site, disclose relevant conditions (e.g., wall type, electrical/plumbing hazards), and comply with all laws. Clients are responsible for securing permissions at the property.

Reviews. Clients may leave reviews/ratings. Reviews must be truthful and not defamatory or unlawful. We may moderate or remove content at our discretion.


5) Technician Terms

Independent Contractor Status. Technicians perform services as independent businesses and are solely responsible for their work, tools, safety, methods, and results. UPTask is not an employer and does not provide wages, workers’ compensation, unemployment insurance, health insurance, or other employment benefits. Technicians are solely responsible for their taxes and required withholdings.

Lead Purchases & No Guarantee. UPTask may market services and provide or sell leads (job requests) to Technicians. Leads are not guaranteed to result in contact, booking, completed work, or payment. Clients may change their minds or become unresponsive. Except where required by law or explicitly stated in writing, lead fees and platform fees are non‑refundable even if a job does not occur.

Licenses, Permits, Insurance. Technicians must maintain all legally required licenses/registrations and carry appropriate insurance (e.g., general liability). UPTask may request proof but is not obligated to verify. Failure to maintain requirements may result in account suspension.

Compliance & Conduct. Technicians must comply with applicable laws, building codes, manufacturer instructions, and safety standards, and must provide accurate quotes and schedules.

Onboarding/Screening. UPTask may offer or require identity verification or background screening via third‑party providers, subject to user consent and applicable law. UPTask may receive only status/results needed for onboarding decisions and does not guarantee the completeness or accuracy of any screening.

Communications. Technicians agree to receive transactional communications (including SMS/voice/push) about job offers, assignments, schedule changes, and support (see Section 9). Opting out of SMS may limit your ability to receive time‑sensitive updates.

Payouts (if applicable). Where UPTask processes Client payments and remits funds to Technicians, payouts are subject to the payment processor’s terms, compliance checks, and reserve/hold policies. UPTask may deduct platform fees and applicable taxes where required by law.


6) Prohibited Uses

You may not: (a) misuse the Services; (b) violate laws or third‑party rights; (c) post unlawful, misleading, or harmful content; (d) circumvent fees; (e) spam or harass users; (f) reverse engineer or scrape the Services; (g) interfere with security or integrity; or (h) misrepresent your identity, skills, licensing, or insurance.


7) Content & Intellectual Property

The Services and all related content are owned by UPTask and its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non‑exclusive, non‑transferable license to use the apps and site for their intended purpose. You grant UPTask a worldwide, royalty‑free license to host, use, reproduce, modify, and display content you submit (e.g., job photos, reviews) solely to operate and improve the Services.


8) Third‑Party Services

The Services may integrate with third‑party tools (e.g., mapping, identity verification, payments/payouts). Your use of those tools is subject to their terms and privacy policies. UPTask is not responsible for third‑party services.


9) Messaging Program (Twilio‑Powered)

UPTask uses Twilio, Inc. to deliver transactional SMS/voice and certain push notifications.

Clients: confirmations, reminders, arrival notices, schedule changes, service updates, and support communications only.
Technicians: job offers/assignments, schedule updates, route/arrival coordination, payout notices, and support regarding orders.
Opt‑Out: reply STOP to cancel; HELP for help. Message/data rates may apply. Frequency varies. Carriers are not liable for delayed/undelivered messages.

UPTask does not use SMS for marketing without your express consent where required by law.


10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UPTASK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. UPTASK DOES NOT WARRANT ANY TECHNICIAN’S QUALIFICATIONS, LICENSING, INSURANCE, AVAILABILITY, OR QUALITY OF WORK; NOR ANY CLIENT’S WILLINGNESS OR ABILITY TO PAY.

Marketplace Release. To the fullest extent permitted by law, you release UPTask from claims, demands, and damages arising out of or in any way connected with disputes between Clients and Technicians or the acts/omissions of third parties.


11) Limitation of Liability

To the maximum extent permitted by law, UPTask and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising from or related to the Services, even if advised of the possibility. Our aggregate liability to you for all claims will not exceed the greater of US $100 or the amounts paid by you to UPTask for Service fees in the six (6) months prior to the claim.

Some jurisdictions do not allow certain disclaimers or limitations; those provisions apply to the extent permitted.


12) Indemnification

You agree to indemnify, defend, and hold harmless UPTask and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your content; or (d) your interactions/agreements with other users.


13) Disputes; Governing Law; Arbitration

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law principles. Any dispute between you and UPTask will be resolved through binding arbitration administered by JAMS under its rules, conducted in Santa Clara County, California, in English. Class actions and jury trials are waived. You and UPTask may seek injunctive relief in a court of competent jurisdiction to protect IP or confidential information. If you are a consumer with non‑waivable rights in your jurisdiction, this clause will apply to the extent permitted by law.


14) Termination; Suspension

We may suspend or terminate access to the Services at any time for any reason, including suspected violations of these Terms, fraud, or risks to security or other users. You may stop using the Services at any time and may delete your account as described below.


15) Account & Data Deletion

You can delete your account at any time via in‑app Delete Account or uptask.io/delete. Deleting your account will disable access and schedule your personal data for deletion or de‑identification, subject to legal retention requirements (see Privacy Policy). Deleting your account does not affect obligations already incurred between Clients and Technicians.


16) Changes to the Services or Terms

We may update the Services and these Terms from time to time. If we make material changes, we will notify you (e.g., via email, in‑app notice, or site banner) and update the “Effective date.” Continued use after changes become effective constitutes acceptance.


17) Store Compliance Summary (Apple/Google)

This section summarizes key disclosures commonly reviewed during app store moderation:

  • Marketplace Only: UPTask connects Clients and independent Technicians; UPTask does not provide services and is not an employer.
  • No Guarantee: Requests/leads may not result in contact, booking, work, or payment.
  • Messaging (Twilio): transactional SMS/voice/push for job updates and support; STOP to opt out, HELP for help; rates may apply.
  • Data Practices: see Privacy Policy; account deletion available in‑app and at uptask.io/delete.
  • Payments: unless otherwise stated, payments are between Client and Technician; if in‑app payments are offered, UPTask acts as a limited collection agent and uses third‑party processors.
  • User‑Generated Content: reviews/photos must be lawful; moderation at our discretion.
  • Safety: users must comply with laws, licensing, and safety standards; UPTask is not responsible for on‑site conditions.
